1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Team Structure ("Company," "we," "us," or "our") governing your access to and use of the Team Structure platform, including any associated websites, applications, and services (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Eligibility

To use the Service, you must:

• Be at least 16 years of age
• Have the legal capacity to enter into a binding contract
• Not be prohibited from using the Service under applicable laws
• If using on behalf of an organization, have the authority to bind that organization to these Terms

3. Account Registration

3.1 Account Creation

To access certain features of the Service, you must register for an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account

3.2 Account Security

You are responsible for safeguarding your password and for any activities or actions under your account. You must notify us immediately of any unauthorized access to or use of your account at security@yourteamstructure.com.

4. Subscription Plans and Billing

4.1 Subscription Plans

We offer various subscription plans (Free, Pro, and Enterprise) with different features and limitations. The specific terms of each plan are described on our pricing page.

4.2 Payment Terms

For paid subscriptions:

• Fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law or as expressly stated in these Terms
• You authorize us to charge your payment method for recurring subscription fees
• Prices are subject to change with 30 days' notice

4.3 Free Trial

We may offer free trials of paid features. After the trial period ends, you will be automatically charged unless you cancel before the trial expires.

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period. You will retain access to paid features until the end of your billing cycle.

5. User Content

5.1 Ownership

You retain all ownership rights to the content you create, upload, or store using the Service ("User Content"). We do not claim ownership of your User Content.

5.2 License to Team Structure

By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for technical purposes such as formatting), and display your User Content solely for the purpose of operating and providing the Service.

5.3 Content Restrictions

You agree not to upload, post, or transmit User Content that:

• Infringes any third-party intellectual property rights
• Contains malware, viruses, or other harmful code
• Is unlawful, defamatory, obscene, or otherwise objectionable
• Violates any applicable law or regulation
• Impersonates any person or entity

6. Acceptable Use

You agree to use the Service in compliance with all applicable laws and these Terms. You shall not:

• Use the Service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to reverse engineer, decompile, or disassemble the Service
• Use automated systems to access the Service without our permission
• Transmit any viruses, worms, or malicious code
• Harass, abuse, or harm another person through the Service
• Resell or redistribute the Service without authorization

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its original content (excluding User Content), features, and functionality, is owned by Team Structure and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose. This license does not include the right to sublicense, modify, or distribute the Service.

8. Third-Party Services

The Service may integrate with or link to third-party websites, services, or applications. We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to their respective terms and policies.

9. Disclaimers

9.1 Service "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

9.2 No Guarantee

We do not warrant that (a) the Service will be uninterrupted, timely, secure, or error-free; (b) any defects will be corrected; (c) the results obtained from use of the Service will be accurate or reliable; or (d) the quality of any information obtained through the Service will meet your expectations.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• IN NO EVENT SHALL TEAM STRUCTURE, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
• OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

11. Indemnification

You agree to indemnify, defend, and hold harmless Team Structure and its officers, directors, employees, agents, licensors, and suppliers from and against all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Service, or your User Content.

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

12.2 Termination by Us

We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

12.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your account and User Content. Provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Dispute Resolution

13.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at legal@yourteamstructure.com to attempt to resolve any dispute informally. We will try to resolve the dispute within 30 days.

13.2 Arbitration

If informal resolution fails, any dispute arising from these Terms or the Service shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, unless you are located in a jurisdiction where this is not enforceable.

13.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. For users in the European Union, nothing in these Terms affects your statutory rights as a consumer.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after any changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements incorporated by reference, constitute the entire agreement between you and Team Structure regarding the Service.

16.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
